Owners Wanted to Sell a Majority of the Business and Retain Significant Ownership Interest
Background
K-Tec is a leading provider of direct mount and articulated dump truck pull / attachment scrapers. The Company primarily sells to dealers and distributors across a variety of end markets including land transformation for highway construction, agriculture and mining, among others. The owners wanted to sell a majority of the business but retain a significant ownership interest. At the same time, they wanted to expand their production capacity, pursue acquisitions and provide ownership to their key employees.
Solution
In 2018, ORG completed a transaction with the owners where they retained roughly 25% of the Company, 10% of the business was provided to key executives, and the company was capitalized for growth.
ORG Involvement
ORG and management led an aggressive strategy to grow the business nationally. The Company opened new 20 locations throughout the country and spent over $100 million on new rental equipment. The Company also completed two acquisitions in the Northeast to accelerate its entry into that market. In order to support this growth, the Company expanded its management team and hired a new CFO and CTO while adding over 200 new employees. The Company also invested heavily in technology to entrench itself as a leading service provider in the industry. During ORG’s ownership, the Company expanded to cover over 80% of the US population with their services.
